WELL WORTHY CONCEPTS REFERRAL AGREEMENT
Well Worthy Concepts is delighted to share the financial benefits generated by referrals with those who offer them to us. Rooted in our core values, we aim to be as clear as possible with what is often called "the fine print". Ours is a not-so-fine 12 pt. font! So please be sure to read through this agreement thoroughly and feel free to contact us if you have any questions.
By scrolling to the bottom of this referral agreement and clicking the “I ACCEPT” button, You: (1) agree that you are at least 18 years of age and a United States citizen; (2) agree to be bound by this Referral Agreement in its entirety; (3) agree that this agreement incorporates Well Worthy Concepts' Terms of Service; and (4) represent that you have read and understand this Referral Agreement in its entirety. Your acceptance of this Referral Agreement is required before you can submit a referral to Well Worthy Concepts.
(A) Definitions.
(1) "You" and "Your". "You" and "Your" means the individual, company or organization making the referral as indicated in the Referral Sign Up Form at the end of this agreement. If an individual is representing a company or organization, that individual agrees she or he is entering her or his company or organization into this referral agreement rather than the individual and that the individual is legally authorized to do so. A change in the individual's status or relationship with the referring company or organization will in no way affect or change this agreement in whole or in part. For a company or organization, this includes your right to receive the referral fee or products in the event that the individual who signed you up is no longer employed or affiliated with you.
(2) "We". "We" means Well Worthy Concepts, LLC which may also be referred to as Well Worthy Concepts or Well Worthy.
(3) Referral. A “Referral” means an entity that meets the following conditions:
a. The contact information you submit for a business, organization or other entity that is a potential new client of Well Worthy Concepts, and any other information you are required to submit relating to such potential client ("Client Information") is accurately provided to Well Worthy Concepts; and b. As of the date of your submission, a) the Referral has never placed an order with Well Worthy Concepts; b) no individual or entity has previously submitted to Well Worthy Concepts the Referral you submitted. See section B(4) below for multiple referrals to the same entity and how we eligibility of referrals are determined.(4) Completed Order. For the purposes of this agreement, a completed order means an order that is placed with Well Worthy Concepts and paid for in full in accordance with Well Worthy's Terms of Service. Any claims or adjustments that reduce the total dollar value of promotional products purchased to less than $2500 will make the order ineligible for the referral program.
Referral Fee and Well Worthy Gift Code.
(1) The Referral fee and the dollar value of the Well Worthy Gift Code are calculated by Well Worthy based on the dollar amount we invoice your referral for their purchase of Well Worthy's products. The dollar amount is equivalent to the final invoiced price of products only and does not include invoiced amounts for tax, shipping and handling, or any other additional charges. You will receive a referral fee or a Well Worthy Gift Code valid for use on your next Well Worthy order based on the first order your referral places. Additionally, your Referral receives a Well Worthy Gift Code to be used on their first order. The dollar amounts for all orders refer to the net invoiced price of products only not the total invoiced amount.
* The word "buys" refers to a completed order of promotional products from Well Worthy Concepts. See "completed order" under section A(4) above. At this time, a referral fee or Gift Code is payable based on the dollar value of one single order and multiple orders can not be combined. The exception to this is progressive invoicing for certain large orders.
(2) Your Referral must complete an order within one year (365 days) of your referral agreement effective date for you to receive your referral fee or promotional products. The actual dollar value of the referral fee or Gift Code will be adjusted based on the total dollar value of promotional products in your Referral's order as described in section (1) above.
(3) In the event of a question or discrepancy regarding the legitimate dollar value of a referral fee or free goods, the total dollar amount of the product purchase price, not including shipping and handling, any tax or other charges, as listed on your referral's transmitted invoice will be the sole and final basis of determining the correct referral fee. Under no circumstances will Well Worthy pay more than 10% of this amount.
(4) In the event of multiple complete and conforming submissions for the same opportunity from different referring entities, the first referral submitted, based on the time it is received in our email inbox, will be the one eligible for a Referral Fee or Promotional Products.
(5) Neither revenue used to calculate referral fees, nor referral fees themselves are eligible towards any other Well Worthy incentives, promotions or discount programs or offers.
(6) You acknowledge and agree that although you submit a referral to Well Worthy Concepts, we haves no control over when or whether your referral will place an order. You hereby waive any and all liability of Well Worthy relating to its sales efforts and for how many or whether any orders are placed based on referrals you provide.
(C) Payment Terms.
(1) Well Worthy Concepts will pay you within 15 - 45 business days after your referral's order has been completed, and provided there has been no return or order cancellation during that period. Payment will be subject to all applicable governmental regulations and rulings, including the withholding of any taxes and/or the reporting of any income as required by law.
(2) Referral fees will not be issued retroactively. Referral fees are calculated based on the net total of products invoiced for a qualifying order, less any returns or other adjustments.
(3) Unless prohibited by applicable law, Well Worthy may withhold or reduce Referral Fees earned if you are or were a Well Worthy customer or client who has any past due payment obligations to Well Worthy Concepts.
(4) You are responsible for any taxes related to the receipt of the referral fee and/or promotional products. In order to receive your check, you will be required to provide your federal tax ID or social security number so that a 1099 Form can be filed. All orders shipped to residents of, or entities legally established in, the state of Maryland will be assessed sales tax as applicable by law. A 501(c)(3) nonprofit must submit its government-issued certificate/letter of nonprofit status. This may be emailed as an attachment.
(D) Exclusions and Restrictions. The following exclusions and restrictions apply:
(1) While you are welcome to submit multiple referrals, you may submit only one referral per entity. For the purposes of the Well Worthy Concepts Referral Program, an entity will constitute a legally formed and recognized business or organization that is legally authorized to conduct and transact business in the United States OR an individual at the time of your referral submission. For example, if you submit a referral for the national headquarters of an organization or company, we will not accept another referral for an affiliate, chapter or office in another location UNLESS the new referral is a separate legal entity. We WILL accept a referral to a an entity connected to/affiliated with an previous referral, such as a business that is part of a franchise system or a chapter of a national nonprofit IF: 1) the entity is a separate legal entity AND 2) purchasing for promotional products is done directly by the entity you have referred and not a centralized (national or regional) office. In no case will Well Worthy pay a referral fee or issue a gift code for orders from a legal entity for which a payment or gift card has previously been issued.
(2) You are eligible to earn referral fees or gift codes for a maximum period of one year ( 12 months) from the date you receive emailed notice that your referral has been accepted by Well Worthy Concepts (the "Effective Date"). If a Referral makes an initial purchase after this time, it may not result in payment of a referral fee or a gift code. Your Referral's first order must be completed within one year (12 months) of the Effective Date of your participation in the Referral Program in order for you to receive a referral fee or gift code.
(3) If you are a Well Worthy Concepts vendor, independent contractor or employee or an employee of a Well Worthy vendor, you may not participate in the Referral Program.
(4) Well Worthy does not pay referral fees for any referrals that are government entities. Well Worthy reserves the right to refuse to accept or act on any referral that, in our sole discretion, is in conflict with Well Worthy Concepts' mission and business interests. This includes, but is not limited to, entities that sell or promote firearms, pornography, prostitution, or tobacco products.
(5) For individuals who are prohibited by company/organizational policy from accepting a referral fee, or who wish to donate the fee instead, the referral fee will be paid to the 501(c)(3) nonprofit designated on your Referral Sign Up Form.
(6) Well Worthy Concepts reserves the right to cancel or disqualify you or any Referred Client from the Referral Program for any reason, in which case Well Worthy will still pay out any earned referral fees, but may choose not to accept any new referrals and/or orders from you or your referral within the context of the Referral Program.
(E) Information Disclosure and Release.
(1) You hereby provide consent for Well Worthy to disclose the information you provide in the Referral Form to your referral through any available communication method and
(2) You hereby provide consent for Well Worthy to identify you by name on Well-Worthy.com, social media, print communications and any and all other media platforms and forms of communication if Well Worthy so chooses, but without any obligation to do so and without any additional compensation or, unless requested on your Referral Form, emailed notification to you.
(3) You acknowledge and agree that you have complied with all data privacy laws in obtaining and providing the Referral's contact information to Well Worthy Concepts.
(4) If you are a nonprofit, you must email or mail a copy of your government-issued letter verifying your status as a 501(c)(3) organization. Upon acceptance of your referral, you will be required to submit your tax ID or social security #. Well Worthy Concepts reserves the right to verify any and all information submitted by you in this form or as a part of this referral program.
(F) Course of Conduct and Cooperation. You agree that you have not acted and will not act in a manner that puts your interests in the referral fee ahead of the potential client's best interests. You acknowledge that the referral fee is not intended to pay you for doing so. You agree that you are not an employee, contractor or other agent in any employment relationship with Well Worthy Concepts and agree not to represent yourself as such. You agree that you are prohibited from and not authorized to enter into any agreements, make any offers or otherwise communicate any transactions on behalf of Well Worthy Concepts, LLC. To inquire about partnerships or other strategic relationships, please contact us.
(G) Term. This Referral Agreement will remain in effect until (1) your voluntary termination of the agreement via email to: [email protected] or (2) 24 consecutive months without any Referral submission or (3) Well Worthy's termination of the Referral Program. If you decide to terminate your participation, Worthy will, upon receiving your emailed termination request, email a confirmation of termination within two business days that will serve as your receipt . The date that Well Worthy sends this email confirmation will serve as the Effective Date of termination of the agreement.
(H) Referral Program. Well Worthy reserves the right to change any aspect of the Referral Program at any time. Any changes will not apply to referral fee or gift code amounts for Referrals already received and acknowledged by Well Worthy prior to the change being published here in this agreement and emailed to all existing Referral Agreement participants. Well Worthy reserves the right to end the Referral Program, and thus terminate this Referral Agreement, with or without cause, at any time and upon 30 days’ written (emailed) notice to existing participants. Referrals in process as of the effective date of such changes will be paid using the method in effect when the Referral was accepted.
(I) Communication.
(1) Any and all legally binding communications between you and Well Worthy regarding this Referral Agreement and the referral program will take place in writing (including electronic communications) via Well-Worthy.com, an email address on the well-worthy.com domain (such as service @well-worthy.com), the email address of one or more of Well Worthy's third-party vendors such as Intuit Payment Network, and the email address(es) you provide on the Referral submission Form. Well Worthy will not be responsible for emails that you enter incorrectly or that are entered incorrectly on your behalf.
(2) You may not imply or falsely communicate the existence of a referral fee or donation from Well Worthy Concepts to a potential referral unless you already have an approved Referral agreement for that same Referral emailed from Well Worthy.
